1. Acceptance; Scope; Order of Precedence
These Terms govern usage of the Hector AI upload interface that converts Requests for Proposal into PowerPoint presentations. By uploading content, you agree to these Terms, which incorporate the Privacy Policy, U.S. State Privacy Notice, Cookie Notice, and Data Processing Addendum. The document notes that “Enterprise/VPC deployments are out of scope” and follow separate agreements.
2. The Service (High Level)
The Service transforms RfPs into proposals rendered in your PowerPoint template. Users may provide optional guidance like audience or tone preferences. The system operates on a “best-effort” basis using commercial and in-house LLM services and “may not strictly follow prompts.” Beta features are provided “AS IS” and may be modified or discontinued.
3. Inputs, Outputs, and Technical Constraints
3.1 Allowed Inputs
- RfP: PDF format only.
- Template (optional): PowerPoint files compliant with Microsoft Office 2016+ / Microsoft 365 (.pptx, .pptm, .potx, .potm, .ppsx, .ppsm).
- Constraints: Minimum 1 PDF, maximum 10 PDFs, maximum total size 50 MB, one template file optional.
3.2 Outputs
Output format is .pptx (PowerPoint) exclusively.
3.3 Template/Font Expectations
Templates must be “well-formed Office 2016+/Microsoft 365” files following modern best practices. Users are responsible for supplying brand fonts and ensuring usage rights.
3.4 Language Support
Input Languages: Arabic, Bengali, Bulgarian, Chinese, Croatian, Czech, Danish, Dutch, English, Estonian, Finnish, French, German, Greek, Hebrew, Hindi, Hungarian, Indonesian, Italian, Japanese, Korean, Latvian, Lithuanian, Norwegian, Polish, Portuguese, Romanian, Russian, Serbian, Slovak, Slovenian, Spanish, Swahili, Swedish, Thai, Turkish, Ukrainian, Vietnamese.
Output Languages: Bengali, Bulgarian, Chinese, Croatian, Czech, Danish, Dutch, English, Estonian, Finnish, French, German, Greek, Hindi, Hungarian, Indonesian, Italian, Japanese, Korean, Latvian, Lithuanian, Norwegian, Polish, Portuguese, Romanian, Russian, Serbian, Slovak, Slovenian, Spanish, Swahili, Swedish, Thai, Turkish, Ukrainian, Vietnamese. Outputs support Left-to-Right languages only; Right-to-Left outputs (Arabic, Hebrew) are unsupported.
4. Acceptable Use; User Guidance; Legal Compliance
4.1 Guidance Limits
Users may provide guidance that must not request illegal or harmful content. Hector may summarize or reframe content and “may not perfectly follow instructions.”
4.2 Prohibited Uses and Content
Users agree not to upload or direct processing of:
- Illegal content or content facilitating illegal activity.
- Sensitive/Regulated Data including protected health information, full payment card data, government ID numbers, biometric identifiers, geolocation, or special categories under GDPR. The terms state: “This Service is not designed to process such information, and any such submission is a material breach.”
- Unlawful copying of copyrighted or third-party confidential materials.
- Content designed to procure regulated advice (medical, legal, tax, financial).
4.3 Sanctions, Export, and Jurisdictional Controls
Users represent they are not located in or organized under laws of U.S. embargoed countries or on restricted lists. They must comply with U.S. and local law. MZX “may decline or cease processing” where non-compliance is reasonably suspected.
4.4 Your Responsibility
Users are solely responsible for ensuring lawfulness of inputs and outputs in their jurisdiction(s). MZX may refuse or stop processing where legal doubt exists.
5. Accounts; Security
Users must protect access credentials and ensure authorized use with reasonable organizational security. Users must not include confidential or sensitive data prohibited under Section 4.2 in prompts or inputs.
6. Data Handling; Delivery; Retention
- Delivery: Outputs delivered via on-demand links (e.g., to S3). Users must download before the stated deadline; after expiration, links may expire and content deleted.
- Retention defaults: Customer Content and Outputs: 360 days; Operational logs/telemetry: 24 months; Billing/records: as required by law.
- Deletion: Users may request deletion by contacting support; standard backups overwritten on normal cycles.
- Training: Customer Content and Outputs are not used to train foundation models by default; training requires explicit opt-in.
- De-identified/aggregated data: MZX may use de-identified/aggregated metrics to improve the Service. Users may opt out where required by law by emailing the privacy contact.
7. Third-Party Providers and Subprocessors
MZX uses vetted providers for hosting, email, analytics, and optional LLM APIs. The current list is maintained on the Subprocessors page and incorporated by reference.
The Service uses infrastructure and model APIs currently including “OpenAI, Anthropic, Google Cloud Vertex AI, Perplexity, and Mistral.” During upload/checkout, “Third-Party Provider terms and policies” are presented with version dates. By clicking “I agree,” users acknowledge acceptance of these terms in addition to MZX’s Terms. MZX may update Third-Party Providers; changes reflected in the upload flow before acceptance.
8. Intellectual Property; Licenses
- Your Content: Users retain all rights to Customer Content (RfPs, templates, brand assets) and Outputs, subject to payment. For both Trial and Paid Runs, upon delivery, MZX assigns all right, title, and interest in Outputs (excluding MZX’s pre-existing IP and tools).
- License to MZX: Users grant a limited, worldwide license to “host, copy, process, transform, and transmit” Customer Content and Outputs solely to provide the Service, deliver support, ensure security, and comply with law.
- Pre-existing IP: MZX retains all rights in software, models, prompts, libraries, and methods.
9. Accuracy; Professional Responsibility; Regulated Advice
Outputs may contain “errors, omissions, or hallucinations” and may not be tailored to specific legal, financial, or technical standards. Users must “review, validate, and edit” all Outputs before use or reliance.
The Service does not provide regulated advice. Users remain fully responsible for use of Outputs, including bids, proposals, and statements to third parties.
10. Support; Availability; Credits
- Support hours: 09:00–19:00 EST, Monday to Friday (excluding public holidays).
- Target response time: Within 24 working hours.
- Service availability: MZX implements industry-standard security measures but does not guarantee uninterrupted operation.
- Credits/Refunds: If a paid run fails due to service outage or material AI Agent failure, the “sole remedy” is a re-run or refund/credit of the run fee.
11. Fees; Billing; Taxes; Refunds
- Model: Per-run pricing.
- Payments: Users authorize payment processors to process payments and handle payment data.
- Taxes: Fees are exclusive of taxes; users are responsible for applicable taxes unless legally exempt.
- Refunds: For outage/AI Agent failure, MZX will re-run or refund/credit the run fee. Otherwise, fees are “non-refundable except as required by law.”
- Trials: Trial runs are free; MZX has no payment or refund obligations for trials.
12. Term; Termination
- Term: Each paid run is a discrete transaction; no auto-renewal exists.
- Access Window: Download windows are limited; after the communicated deadline, links may expire per retention schedules.
- Suspension/Refusal: MZX may suspend or refuse processing for legal, security, or policy reasons (sanctions/export compliance, AUP violations, or reasonable suspicion of illegality).
13. Warranties; Disclaimers
- Mutual warranty: Each party warrants it has authority to enter these Terms.
- Your warranties: Users warrant they own or have rights to submit Customer Content and templates, that usage complies with U.S. and local law, and they will not submit prohibited data/content.
- Service disclaimer: “THE SERVICE AND OUTPUTS ARE PROVIDED ‘AS IS’ AND ‘AS AVAILABLE.’ TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY.”
14. Limitation of Liability
- Trial Runs: Total liability is USD $0.
- Paid Runs: Total liability for any claim arising from a paid run is capped at the amount paid for that run.
- Indirect damages: Neither party is liable for “indirect, incidental, consequential, special, exemplary, or punitive damages, or lost profits/revenue,” even if advised of the possibility.
These limits apply to the fullest extent permitted by law and do not limit liability for amounts due, breach of IP use restrictions, or willful misconduct.
15. Indemnities
- By MZX (IP): MZX will defend and indemnify users against third-party claims alleging the Service “directly infringes” IP rights, subject to customary exclusions (combinations MZX did not supply, modifications not by MZX, or use contrary to Terms). Remedies may include modifying the Service, procuring rights, or suspending the affected feature with a refund of unused run fees.
- By You (Content): Users will defend and indemnify MZX and affiliates against claims arising from Customer Content, templates, or use of Outputs, including violations of law, third-party rights, or these Terms.
16. Compliance; Export; Anti-Bribery; Sanctions
Users represent and warrant compliance with export controls, anti-corruption, and sanctions laws. They will not use the Service in violation of such laws or in prohibited jurisdictions. MZX may take actions reasonably necessary to comply with law.
17. Changes to Terms
MZX may update these Terms from time to time. Material changes will be notified via email and/or portal notice with an effective date. By uploading or using the Service “after the effective date,” users accept updated Terms. If users object to material changes, their remedy is to “stop using the Service.”
18. Notices
Notices must be sent to the Legal Contact and are deemed given upon sending, or to the user’s email or portal account contact. Operational or transactional notices (e.g., delivery links) may be sent from system email addresses.
19. Governing Law; Venue
These Terms are governed by the laws of Ireland, without regard to conflict-of-law rules. Parties submit to the “exclusive jurisdiction of the courts of Ireland” for any dispute not otherwise subject to mandatory arbitration or alternative procedure agreed in writing.
20. Miscellaneous
- Assignment: Users may not assign these Terms without prior written consent; MZX may assign to an affiliate or in connection with a corporate transaction.
- Force Majeure: Neither party is liable for delays/failures due to causes beyond reasonable control.
- Publicity: MZX will not use user names or marks without permission, except to identify users as customers in a list or as required by law.
- Severability; Waiver: If any provision is unenforceable, the remainder remains in effect. No waiver is effective unless in writing.
- Entire Agreement: These Terms (and incorporated documents) are the entire agreement for the upload interface and supersede prior understandings.
Appendix A — Definitions
- Customer Content: Uploaded RfPs, templates, brand assets, instructions/prompts, and related data.
- Output(s): The .pptx deliverable generated by the Service.
- Run: A single processing job ingesting one or more PDFs (and optional template) to produce an Output.
- Trial Run: A Run at no charge.
- Paid Run: A Run purchased on a per-run basis or in a package of runs.
